Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Polarity Technologies ("Polarity," "we," "us," or "our"), governing your access to and use of the Polarity platform, including our website, dashboard, APIs, AI trading agents, and all related services (collectively, the "Service").

By creating an account, connecting a brokerage account, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

2. Eligibility

To use the Service, you must:

  • Be at least 18 years of age (or the age of majority in your jurisdiction).
  • Have the legal capacity to enter into a binding contract.
  • Maintain a valid brokerage account with a supported broker (e.g., Alpaca, OANDA, Coinbase).
  • Reside in a jurisdiction where automated trading and the use of our Service is not prohibited by applicable law.
  • Not be a person or entity subject to economic sanctions or trade restrictions imposed by the United States or other applicable jurisdictions.

You represent and warrant that all information you provide during registration and throughout your use of the Service is accurate, current, and complete.

3. Description of Service

Polarity is a software-as-a-service platform that connects to your existing brokerage accounts via API and deploys AI-powered automated trading agents. The Service includes, but is not limited to:

  • Automated execution of trades across stocks, options, forex, and cryptocurrency markets.
  • AI-driven strategy selection, including the Polarity Adaptive meta-strategy engine.
  • Real-time portfolio monitoring, equity tracking, and performance analytics.
  • Risk management features including circuit breakers, position sizing controls, and margin guards.

Polarity does not act as a broker-dealer, investment adviser, commodity trading advisor, or any other regulated financial intermediary. We do not hold, custody, or have direct access to your funds. All trades are executed through your connected third-party brokerage accounts.

4. Broker Account Connection and API Keys

To use the Service, you must provide API credentials (API keys and secrets) for one or more supported brokerage accounts. By providing these credentials, you:

  • Authorize Polarity to read account data (positions, balances, trade history) and submit orders on your behalf.
  • Acknowledge that you are solely responsible for the permissions granted through your API keys.
  • Agree to use API keys that grant only the minimum permissions necessary for trading (we recommend avoiding keys that permit fund withdrawals).
  • Accept responsibility for the security of your brokerage account and for revoking API access if you suspect unauthorized use.

We encrypt all API credentials at rest using AES-256-GCM encryption. However, no method of electronic storage is 100% secure, and we cannot guarantee absolute security. You acknowledge this inherent risk.

5. Fee Structure

Polarity operates on a performance-based fee model. The following terms govern our fee structure:

  • No Base Fee: There is no monthly subscription fee or upfront cost to use the Service.
  • Performance Fee: We charge a fee of fifteen percent (15%) of net new profits generated by our trading agents above a high-water mark.
  • High-Water Mark: The high-water mark is the highest cumulative net profit level your account has reached while using the Service. Performance fees are only assessed on profits that exceed this mark. If your account experiences losses, no fee is charged until the account recovers past the previous high-water mark and generates new net profits.
  • Calculation Period: Performance fees are calculated and billed on a monthly basis at the end of each calendar month.
  • Payment Processing:All fee payments are processed through Stripe. By using the Service, you agree to Stripe's terms of service and authorize Polarity to charge your designated payment method for accrued performance fees.
  • Fee Disputes: If you believe a fee has been calculated incorrectly, you must notify us within thirty (30) days of the charge. We will review the calculation and provide a detailed breakdown upon request.

6. Trading Risks and Disclaimers

IMPORTANT RISK DISCLOSURE

Trading in financial instruments, including stocks, options, forex, and cryptocurrencies, involves substantial risk of loss and is not suitable for all investors. You should carefully consider your financial situation and risk tolerance before using the Service. You could lose some or all of your invested capital.

By using the Service, you acknowledge and agree that:

  • Not Financial Advice: The Service does not provide investment advice, financial advice, tax advice, or legal advice. The automated trading strategies, AI signals, and any information presented through the Service are for informational and automated execution purposes only and should not be construed as a recommendation to buy, sell, or hold any financial instrument.
  • No Guarantee of Profits: Past performance of any trading strategy, including backtested results, is not indicative of future results. There is no guarantee that the Service will generate profits. AI strategies may underperform, malfunction, or produce losses.
  • Market Risk: Financial markets are inherently volatile. Prices can move rapidly and unpredictably due to economic events, geopolitical developments, market sentiment, and other factors beyond our control.
  • Leverage Risk: Certain markets (forex, options, futures) involve leverage, which can amplify both gains and losses. You may lose more than your initial deposit.
  • Technology Risk: Automated trading systems are subject to hardware failures, software bugs, network outages, API disruptions, and other technical issues. Trades may not execute as intended, may be delayed, or may fail entirely.
  • Broker Risk: Your funds are held at your third-party brokerage. Polarity is not responsible for the solvency, reliability, or actions of any third-party broker. Broker outages, policy changes, or failures may affect your trading.
  • AI Model Risk: AI trading strategies are based on statistical models and machine learning algorithms that may not account for all market conditions, black swan events, or structural market changes. Models may degrade over time.

7. User Responsibilities

You agree to:

  • Maintain the security and confidentiality of your Polarity account credentials.
  • Monitor your trading accounts and the activity of deployed agents.
  • Ensure you have sufficient funds and margin in your brokerage accounts.
  • Comply with all applicable laws, regulations, and the terms of your brokerage agreement.
  • Promptly revoke API access and notify us if you suspect any unauthorized use of your account.
  • Not use the Service for any illegal purpose, including market manipulation, wash trading, or money laundering.
  • Not attempt to reverse-engineer, decompile, disassemble, or otherwise derive the source code of our proprietary trading algorithms.
  • Not share your account or resell access to the Service without our written consent.

8. Intellectual Property

All trading strategies, algorithms, AI models, user interface designs, software code, documentation, trademarks, and other intellectual property associated with the Service are the exclusive property of Polarity Technologies or its licensors. Your use of the Service does not grant you any ownership interest in our intellectual property.

You may not copy, modify, distribute, sell, or sublicense any part of the Service. Any feedback, suggestions, or ideas you provide to us regarding the Service may be used by us without restriction or compensation.

9. Account Suspension and Termination

We may suspend or terminate your account at any time, with or without notice, if:

  • You violate any provision of these Terms.
  • We suspect fraudulent, abusive, or illegal activity on your account.
  • Your use of the Service poses a risk to the integrity of our platform or other users.
  • Required by law or regulatory order.

You may terminate your account at any time by stopping all agents, disconnecting your broker accounts, and contacting us to request account deletion. Upon termination, any accrued and unpaid performance fees remain due and payable.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, POLARITY TECHNOLOGIES, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, TRADING LOSSES, OR LOSS OF BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO POLARITY DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Without limiting the foregoing, Polarity shall not be liable for any losses resulting from: trades executed or not executed by automated agents; API failures, delays, or errors at your brokerage; market conditions including flash crashes, halts, or gaps; interruptions to the Service due to maintenance, outages, or force majeure events; or errors in AI model predictions or strategy performance.

11. Indemnification

You agree to indemnify, defend, and hold harmless Polarity Technologies and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your trading activity; or (e) any dispute between you and your broker.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. POLARITY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

We do not guarantee the accuracy, completeness, or reliability of any trading signals, AI predictions, performance metrics, or other information provided through the Service.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of laws provisions.

Any dispute arising out of or relating to these Terms or the Service shall first be resolved through good-faith negotiation. If the parties are unable to resolve the dispute within thirty (30) days, the dispute shall be submitted to binding arbitration administered by the American Arbitration Association in Denver, Colorado. The arbitration shall be conducted by a single arbitrator, and the arbitrator's decision shall be final and binding. Each party shall bear its own costs unless the arbitrator orders otherwise.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class, consolidated, or representative action.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through the Service at least thirty (30) days before the changes take effect. Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service and close your account.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Polarity Technologies regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
